Change Healthcare in an 8-K filing said it plans to complete its merger with United Health Care by 12 a.m. this Sunday unless the US Department of Justice files a lawsuit to stop the deal.
UHG’s Optum unit announced plans back in January 2021 to buy Change Healthcare for $13 billion, or $7.84 billion in cash plus about $5 billion in debt. That transaction was initially expected to be completed in the second half of 2021.
Since then the deal has been the focus of a federal probe.
Change had reportedly been discussing a possible sale of assets to help seal the deal and avert an antitrust challenge from the DOJ. According to Bloomberg Law, the Justice Department has not found any divestitures that would eliminate antitrust concerns. Read more.
