Minnesota AG Reviewing Two Proposed Hospital Mergers

Minnesota Attorney General Keith Ellison’s office is reviewing two proposed health system mergers—the combination of Marshfield Clinic Health System and Essentia Health along with the proposed Aspirus Health-St. Luke’s Duluth deal. While it’s customary for state attorneys general to review transactions involving nonprofit healthcare entities to ensure the terms are fair, Ellison has additional authority to challenge proposed mergers under a new state law. Minnesota Gov. Tim Walz (D) signed a bill in May that gives the attorney general the power to rebuff any deal that would substantially limit competition or one determined not to be in the public’s best interest, Modern Healthcare reports.
